TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of the website, platform, dashboards, reports, audits, content workflows, APIs, integrations, AI-assisted tools, managed services, and related services provided by Hordus AI Ltd. (“Hordus,” “we,” “us,” or “our”).

Hordus AI Ltd. is located at Harakevet 58, Tel Aviv, Israel.

These Terms apply to business customers only. The Services are not intended for consumers or for personal, household, or non-business use.

By accessing or using the Services, creating an account, requesting a demo, submitting a website for analysis, signing an order form, or otherwise using Hordus, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

1. The Hordus Services

Hordus provides a business-to-business Generative Engine Optimization, Answer Engine Optimization, AI visibility, content intelligence, and site-audit platform.

The Services may include:

  1. AI visibility monitoring across generative AI engines and search experiences.
  2. Answer share, citation, prompt, topic, source, sentiment, and competitor analysis.
  3. GEO site audits, crawlability checks, structured data recommendations, technical recommendations, and remediation planning.
  4. Content opportunity discovery, content briefs, AI-assisted draft generation, metadata, FAQ suggestions, schema suggestions, and content optimization.
  5. Executive reports, dashboards, scorecards, charts, datasets, alerts, and recommendations.
  6. APIs, MCP-compatible tools, integrations, exports, and workflow features, where made available.
  7. Advisory, editorial, research, content, and managed execution services.

We may modify, improve, suspend, discontinue, or replace any part of the Services from time to time.


2. Business Customers Only

The Services are intended only for businesses, companies, organizations, agencies, and professional users.

By using the Services, you confirm that:

  1. You are using the Services for business purposes.
  2. You are not using the Services as a consumer.
  3. You are at least 18 years old.
  4. You have authority to act on behalf of the business or organization you represent.

3. Accounts and Authorized Users

To access certain parts of the Services, you may need to create an account or receive access credentials.

You are responsible for:

  1. All activity under your account.
  2. Keeping credentials, API keys, tokens, and access links secure.
  3. Ensuring that only authorized users access your workspace.
  4. Assigning appropriate user roles and permissions.
  5. Promptly notifying Hordus of any suspected unauthorized access.
  6. Ensuring that your authorized users comply with these Terms.

We may suspend or restrict access if we reasonably believe that an account has been compromised, misused, used unlawfully, or used in violation of these Terms.


4. Orders, Fees, and Payment

Commercial terms may be set out in an order form, statement of work, proposal, subscription plan, invoice, or online checkout flow (“Order Form”).

Unless otherwise stated in an Order Form:

  1. Fees are due in advance.
  2. Fees are non-refundable except where required by law or expressly agreed in writing.
  3. You are responsible for applicable taxes, bank fees, and withholding obligations.
  4. Late payment may result in suspension of the Services.
  5. Usage limits, generation limits, workspace limits, audit limits, API limits, or managed-service quotas may apply.
  6. We may update pricing for future renewal periods by providing reasonable notice.

If an Order Form conflicts with these Terms, the Order Form controls only for the specific commercial terms it addresses.


5. Customer Data

“Customer Data” means business information, website URLs, company descriptions, product information, brand guidelines, public website content, prompts, tracked topics, competitor lists, analytics exports, technical audit inputs, comments, instructions, content briefs, draft content, and other materials submitted to or connected with the Services by or on behalf of a Customer.

Customer retains ownership of Customer Data.

Customer grants Hordus a limited, worldwide, non-exclusive license to host, process, analyze, transform, display, reproduce, and use Customer Data only as necessary to provide, secure, support, maintain, and improve the Services.

This may include generating reports, audits, recommendations, briefs, drafts, metadata, source packs, content opportunities, and performance analysis.


6. No Personal Data Uploads

The Services are not designed for the upload, processing, or storage of personal data inside Customer workspaces.

Customer must not upload, submit, connect, or provide to the Services any personal data, whether sensitive or non-sensitive, unless Hordus has expressly agreed in writing in a separate agreement.

This includes, without limitation:

  1. Names, emails, phone numbers, or addresses of individuals, except authorized business contact and account information required to use the Services.
  2. Customer lists containing identifiable individuals.
  3. Employee, candidate, or HR records.
  4. Health, biometric, financial, government ID, children’s, or special category data.
  5. Passwords, credentials, private keys, or secret tokens.
  6. Private communications or confidential third-party personal information.

Customer is responsible for ensuring that Customer Data does not contain personal data.

If Customer Data accidentally includes personal data, Customer must notify Hordus immediately at privacy@hordus.ai or security@hordus.ai, and Hordus may delete, restrict, or quarantine the relevant data.


7. Generated Output

The Services may generate AI-assisted or human-assisted outputs, including:

  1. Reports.
  2. Charts.
  3. Audit recommendations.
  4. Content briefs.
  5. Draft articles.
  6. FAQs.
  7. Metadata.
  8. Schema suggestions.
  9. Social posts.
  10. PR pitch drafts.
  11. Technical tickets.
  12. Strategic recommendations.
  13. Other content or analysis.

These outputs are referred to as “Generated Output.”

Unless otherwise agreed in an Order Form, Customer may use Generated Output for its internal and external business purposes, subject to these Terms and applicable law.

Customer is solely responsible for reviewing, editing, validating, approving, fact-checking, legally clearing, and publishing any Generated Output.

Hordus does not guarantee that Generated Output is complete, accurate, lawful, non-infringing, current, suitable for a regulated industry, or appropriate for publication without human review.


8. Human Review and Publication

Hordus may provide human editorial review, content review, or managed-service review as part of certain plans or services.

However, unless expressly agreed otherwise in writing:

  1. Hordus does not automatically publish content on behalf of Customer.
  2. Customer is responsible for final approval of any content.
  3. Customer is responsible for ensuring that published content complies with applicable laws, advertising standards, platform rules, industry rules, and internal policies.
  4. Customer is responsible for claims, comparisons, endorsements, testimonials, and any statements made in published materials.

9. No Guaranteed AI, Search, or Business Outcomes

Hordus provides analysis, recommendations, technical guidance, and content workflows intended to improve AI visibility and GEO readiness.

However, Hordus does not guarantee:

  1. Specific AI mentions, citations, rankings, answer share, or visibility scores.
  2. Inclusion in ChatGPT, Claude, Gemini, Perplexity, Google AI Overviews, or any other AI or search system.
  3. Specific traffic, leads, conversions, revenue, pipeline, valuation, or business outcomes.
  4. That third-party AI engines, search engines, crawlers, platforms, or algorithms will behave in any particular way.
  5. That recommendations will produce any specific commercial result.

Scores, projections, rankings, simulations, forecasts, opportunity scores, and estimated impacts are estimates only.


10. Third-Party AI Providers and Platforms

The Services may use or interoperate with third-party providers, including OpenAI, Anthropic, Google/Gemini, Perplexity, cloud providers, analytics providers, content platforms, project management tools, search engines, AI platforms, and other service providers.

Third-party providers are not controlled by Hordus.

Customer’s use of third-party integrations may be subject to separate third-party terms, privacy policies, fees, limits, and restrictions.

Hordus is not responsible for third-party platforms, model behavior, downtime, data practices, search results, AI answers, crawler activity, or changes to third-party systems.


11. Customer Responsibilities

Customer is responsible for:

  1. The accuracy, legality, and completeness of Customer Data.
  2. Ensuring that Customer Data does not contain personal data.
  3. Reviewing and approving Generated Output before use.
  4. Ensuring that published content is lawful and accurate.
  5. Ensuring that comparative claims are fair, substantiated, and not misleading.
  6. Ensuring that any use of testimonials, reviews, endorsements, or third-party quotes complies with applicable laws.
  7. Maintaining proper website, cookie, advertising, and privacy compliance for Customer’s own properties.
  8. Managing access by Customer’s authorized users.
  9. Maintaining backups of Customer materials where appropriate.
  10. Complying with applicable platform terms, advertising rules, data protection laws, intellectual property laws, and industry regulations.

12. Acceptable Use

Customer may not use the Services to:

  1. Violate any law, regulation, court order, sanctions regime, export control, or third-party right.
  2. Upload or process personal data in Customer workspaces.
  3. Upload unlawful, infringing, defamatory, deceptive, harmful, or misleading content.
  4. Generate spam, fake reviews, fake testimonials, deceptive endorsements, impersonation, undisclosed sponsored content, or manipulative content.
  5. Conduct dark-pattern SEO, link spam, fake authority building, or unlawful scraping.
  6. Attempt to manipulate, deceive, overload, attack, or compromise AI platforms, search engines, websites, or Hordus systems.
  7. Reverse engineer, decompile, copy, scrape, or misuse the Services.
  8. Bypass rate limits, usage limits, authentication, authorization, or security controls.
  9. Upload malware, harmful code, prompts intended to compromise systems, or prompt-injection payloads.
  10. Use the Services to build, train, or improve a competing product without authorization.
  11. Misrepresent Generated Output as independently verified or human-authored where disclosure is legally required.
  12. Use the Services in a way that may damage Hordus, its customers, third parties, or the integrity of the Services.

13. Intellectual Property

Hordus and its licensors retain all rights, title, and interest in and to the Services, platform, software, technology, workflows, prompts, templates, models, analytics methods, scoring logic, dashboards, user interface, documentation, know-how, and other Hordus materials.

Customer may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works based on the Services except as expressly permitted in writing.

Customer retains ownership of Customer Data.

Subject to Customer’s ownership of Customer Data, Hordus retains ownership of its methods, tools, templates, systems, platform, analysis frameworks, and service know-how used to generate or deliver outputs.


14. Feedback

If Customer provides feedback, suggestions, ideas, or recommendations, Hordus may use them without restriction or compensation, provided that Hordus does not disclose Customer’s confidential information.


15. Confidentiality

Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood to be confidential (“Confidential Information”).

The receiving party will:

  1. Use Confidential Information only to perform or receive the Services.
  2. Protect Confidential Information using reasonable safeguards.
  3. Not disclose Confidential Information except to employees, contractors, advisors, affiliates, and service providers who need to know it and are bound by confidentiality obligations.

Confidentiality obligations do not apply to information that is public, already known, independently developed, or lawfully obtained from a third party.


16. Security

Hordus uses commercially reasonable technical, organizational, and administrative measures designed to protect the Services and Customer Data.

However, no system is completely secure. Customer is responsible for:

  1. Using strong credentials.
  2. Protecting accounts, API keys, and access tokens.
  3. Limiting workspace access.
  4. Avoiding uploads of personal data or sensitive data.
  5. Promptly reporting suspected security incidents to security@hordus.ai.

17. Privacy

Hordus’s privacy practices are described in the Hordus Privacy Policy.

Where Hordus processes personal data on behalf of a Customer, the parties may enter into a Data Processing Addendum where required by applicable law. Hordus’s Data Processing Addendum and Subprocessor information are available upon request.


18. Beta, Free, Trial, and Experimental Services

Hordus may provide beta features, free tools, trial services, preview reports, pilot programs, or experimental features.

These are provided “as is,” may be changed or discontinued at any time, and may be subject to limited functionality, limited support, limited retention, limited accuracy, or additional restrictions.


19. Suspension

Hordus may suspend access to the Services if:

  1. Customer fails to pay fees when due.
  2. Customer breaches these Terms.
  3. Customer creates a security, legal, operational, or reputational risk.
  4. Customer misuses the Services.
  5. Customer Data appears to contain personal data or prohibited content.
  6. Suspension is required by law or by a third-party provider.

Where reasonable, Hordus will provide notice and an opportunity to cure.


20. Term and Termination

These Terms apply for as long as Customer accesses or uses the Services.

Either party may terminate an Order Form as provided in that Order Form.

Hordus may terminate or suspend access immediately for material breach, non-payment, security risk, legal risk, or misuse.

Upon termination:

  1. Customer’s access to the Services may end.
  2. Hordus may retain Customer workspace data for up to 90 days, unless a shorter or longer period is required by law, security, backup, billing, dispute resolution, or an Order Form.
  3. Hordus may delete or disable Customer Data after the retention period.
  4. Sections that by their nature should survive will survive, including payment, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

21. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.”

Hordus disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, uninterrupted operation, and error-free performance.

Hordus does not provide legal, financial, tax, medical, regulatory, or professional advice.

Customer should obtain professional review before relying on outputs for public, regulated, legal, financial, medical, investment, employment, or high-risk use.


22. Limitation of Liability

To the maximum extent permitted by law, Hordus will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including loss of revenue, goodwill, data, traffic, rankings, visibility, reputation, business opportunity, or anticipated savings.

Except for amounts owed, confidentiality violations, misuse of intellectual property, or liability that cannot be limited by law, Hordus’s total liability arising out of or relating to the Services will not exceed the amounts paid by Customer to Hordus under the applicable Order Form in the six months preceding the event giving rise to the claim.


23. Indemnification

Customer will defend, indemnify, and hold harmless Hordus, its affiliates, officers, directors, employees, contractors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from or relating to:

  1. Customer Data.
  2. Customer’s use of the Services.
  3. Customer’s use, publication, or distribution of Generated Output.
  4. Customer’s breach of these Terms.
  5. Customer’s violation of law or third-party rights.
  6. Customer’s upload or submission of personal data.
  7. Customer’s website, content, claims, advertisements, or marketing practices.
  8. Customer’s misuse of third-party platforms, AI providers, search engines, or integrations.

24. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules.

The competent courts of Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, unless otherwise required by applicable law.


25. Changes to These Terms

Hordus may update these Terms from time to time.

Updated Terms will be posted on the Hordus website with a new “Last Updated” date. Material changes may also be notified by email, dashboard notice, or other reasonable means.

Continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.
